The MSU College of Law Small Business& Nonprofit Clinical Fellow will be responsible for overseeing the Clinic’s legal services by supervising law students who are representing small businesses and nonprofit organizations. The Fellow will be the primary attorney-contact in providing direct legal assistance to nonprofit organizations and small businesses. Typical legal services rendered to small businesses and nonprofit organizations include: Counseling on legal formation, maintenance and compliance; Drafting organizing documents, such as articles of incorporation/organization, bylaws and operating agreements; Review and drafting business contracts; Nonprofit organization tax-exemption matters; and Trademark and copyright applications.
The Fellow will assist in classroom instruction in substantive business and nonprofit law topics along with a focus on professional skill development in areas such as client interviewing and counseling, case file management and other general law practice management issues. The Fellow will be engaged in Clinic outreach by way of offering community education lectures and written legal resources.
The Fellow will work under the direct supervision of the Director of the Small Business & Nonprofit Clinic. This Fellowship lasts for a period of two years. The Fellow generally will begin his or her fellowship immediately upon hire - the exact start date will be determined mutually by the Fellow and the Clinic Director.
Responsibilities:
*Direct supervision of students in their representation of clients
*Assistance in teaching classroom component
*Community outreach on behalf of the Clinic
*Maintaining, evaluating and improving academic, law office management and service components of the Clinic
*Active development of new types of clients the Clinic may serve (which may include entrepreneurial niche-markets, such as inventors & innovators and environmentally conscious green businesses)
Qualifications:
*J.D. degree and admission to the State Bar of Michigan or willingness to seek prompt admission to the Michigan Bar
*Background in transactional business and nonprofit law
*Experience working with small and emerging businesses and nonprofit organizations
*Experience teaching and supervising students or lawyers is preferred
Salary & Benefits:
The starting salary for this position is $39,500 annually, together with benefits (including healthcare, dental, paid parking, contribution to retirement annuity, term life insurance, long-term disability coverage, payment of basic Bar dues, and vacation time).
